1. Acceptance of Terms

Welcome to Eyevertise. By accessing or using our websites, services, reports, client portal, or related applications, you agree to be bound by these Terms. If you do not agree, please do not use our services.

These Terms apply to:

• AI Competitive Visibility Report and related assessment services
• Client marketing, visibility, reputation, search, and website services for eye care practices
• Any related websites, tools, reports, and services operated by Eyevertise

2. About Eyevertise

Eyevertise provides marketing, visibility, website, reputation, search, directory, and AI visibility services for eye care professionals and organizations. Our Growth Plan and related programs are designed to help practices understand and improve how they are found, compared, and recommended online.

Information provided through our websites, reports, consultations, and services is intended for informational and business purposes only. It is not medical, legal, financial, or professional advice.

3. AI Visibility Reports

Eyevertise may provide free or paid visibility reports that evaluate publicly available information regarding a practice’s online presence.

Reports may include observations and recommendations related to:

• Search visibility
• AI platform visibility and recommendations
• Reviews and online reputation
• Directory and listing presence
• Competitor comparisons
• Opportunities to improve visibility

Reports are informational business tools. They should not be interpreted as guarantees of future performance, rankings, patient growth, revenue, or other business outcomes. Report content may change over time as third-party platforms, algorithms, and public data change.

4. No Guarantee of Results

Visibility, rankings, AI recommendations, search results, website traffic, leads, reviews, and patient opportunities are influenced by many factors outside Eyevertise’s control, including competition, market conditions, platform policies, and a practice’s own operations and reputation.

Eyevertise does not guarantee:

• Search rankings or placement
• AI platform recommendations or citations
• Website traffic levels
• Lead or inquiry volume
• Patient acquisition or retention
• Revenue or profitability
• Any specific business performance outcome

Past performance, examples, or case results do not guarantee future results.

5. Third-Party Platforms

Our services may reference, analyze, or interact with third-party platforms including, but not limited to:

• Google and other search engines
• AI assistants and platforms such as ChatGPT/OpenAI
• Healthgrades, Yelp, and healthcare directories
• Facebook, Instagram, LinkedIn, and other social platforms
• Review, listing, and directory services

Eyevertise does not own or control these platforms and cannot guarantee their availability, functionality, algorithms, rankings, policies, data accuracy, or future behavior. Changes made by third-party platforms may affect visibility, performance, and report content.

6. Website Use

You agree to use our websites and services lawfully and responsibly. You may not:

• Attempt unauthorized access to our systems, accounts, or networks
• Interfere with website operations or security
• Distribute malware or harmful code
• Use automated scraping, harvesting, or data-extraction tools without our written permission
• Misrepresent your identity or affiliation
• Submit false, misleading, or unlawful information
• Violate applicable laws, regulations, or third-party rights

We reserve the right to restrict or terminate access for conduct that we reasonably believe violates these Terms or harms Eyevertise, our users, or third parties.

7. Intellectual Property

All content on Eyevertise websites and in our deliverables—including text, graphics, logos, report formats, designs, software, documentation, and marketing materials—is owned by Eyevertise or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, publicly display, or commercially exploit our materials without our prior written permission, except where permitted by law or under a separate written agreement with Eyevertise.

Client-provided materials remain the property of the client or its licensors. By submitting content to Eyevertise, you represent that you have the right to provide that content and grant Eyevertise the rights reasonably necessary to perform requested services.

8. Client Portal Accounts

Certain services require access to our client portal at portal.eyevertise.ai.

Portal users are responsible for:

• Maintaining accurate account information
• Protecting login credentials and account security
• Restricting unauthorized access to their account
• Promptly notifying Eyevertise of suspected misuse or unauthorized access

Eyevertise may suspend or terminate portal access for violations of these Terms, security concerns, nonpayment where applicable, or other reasonable business reasons.

9. Paid Services

If you purchase paid services from Eyevertise, additional terms such as proposals, statements of work, service agreements, or billing terms may apply. Where those documents conflict with these Terms on a specific matter, the signed or accepted service agreement generally controls for that matter.

10. Disclaimer of Warranties

Our websites, reports, tools, and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Eyevertise disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

11. Limitation of Liability

To the fullest extent permitted by law, Eyevertise and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

• Website or portal use
• Report use or reliance on report content
• Service interruptions or data issues
• Lost profits, revenue, or business opportunities
• Third-party platform changes or outages

Your use of our websites and services is at your own risk. Where liability cannot be excluded, Eyevertise’s total liability arising from any claim related to these Terms or your use of our services shall not exceed the greater of (a) the amount you paid Eyevertise for the specific service giving rise to the claim during the twelve (12) months before the claim, or (b) one hundred U.S. dollars ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Eyevertise and its officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your use of our services, your violation of these Terms, or your violation of any law or third-party right.

13. Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect information. By using our services, you acknowledge that you have reviewed our Privacy Policy.

14. Changes to Terms

Eyevertise may update these Terms from time to time. Updated versions will be posted on this page with a revised effective or last-updated date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of our services shall be brought in the courts located in Illinois, unless applicable law requires otherwise.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
